Welcome to Saucier Systems! The terms “we,” “us,” and “our” refer to Saucier Systems. Saucier Systems operates this store and website, including all related information, content, features, tools, products, software, digital products, and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Saucier Systems is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as software licensing, warranty disclaimers, and limitations of liability.

By visiting, interacting with, purchasing from, downloading from, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

We make reasonable efforts to accurately describe and represent our products and services. Product appearance, screenshots, features, interfaces, or other representations may vary depending on device, operating system, software version, display settings, updates, or other factors.

Product descriptions, specifications, features, availability, compatibility requirements, and pricing may change from time to time. We reserve the right to modify or discontinue products or services, subject to applicable law and any rights associated with purchases already made.

Customers are responsible for reviewing published system requirements and compatibility information before purchasing downloadable software.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. Saucier Systems reserves the right to accept or decline an order as permitted by law. Your order is not accepted until Saucier Systems confirms acceptance and payment has been successfully processed.

Please review your order carefully before submitting it. Digital products may be delivered or made accessible shortly after payment, which may prevent cancellation after an order has been processed.

Purchases are subject to our posted Refund Policy.

Products purchased from Saucier Systems are intended for the purchaser’s own lawful personal or business use unless expressly stated otherwise. Products may not be purchased for unauthorized resale, redistribution, sublicensing, sharing, or other commercial exploitation.

SECTION 4 - PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed and will be shown during checkout or in the order confirmation.

Unless expressly stated otherwise, prices do not include applicable taxes, shipping, customs, or other charges.

You agree to provide current, complete, and accurate purchase and payment information. You represent that you are authorized to use the payment method provided and agree to pay all valid charges associated with your purchase.

SECTION 5 - DIGITAL DELIVERY AND PHYSICAL DELIVERY

Digital products, including downloadable software, may be delivered electronically through a download page, email, customer account, third-party delivery service, or another method specified by Saucier Systems.

You are responsible for providing a valid email address, maintaining access to the device or account used to receive your purchase, and downloading and safeguarding purchased files where appropriate.

Download limits or other reasonable delivery controls may apply. Such controls do not transfer ownership of Saucier Systems intellectual property or authorize redistribution.

If you experience a legitimate download or installation problem, contact Saucier Systems Support. We may provide reasonable technical assistance or an alternative method of delivering the same purchased product or license.

If Saucier Systems offers physical products, delivery dates are estimates unless expressly guaranteed. Shipping terms applicable to a particular physical product will be disclosed where appropriate.

SECTION 6 - SOFTWARE LICENSE

Unless expressly stated otherwise, Saucier Systems software is licensed, not sold.

Purchase of a Saucier Systems software product grants the purchaser a limited, non-exclusive, non-transferable, non-sublicensable license to install and use that software for the purchaser’s own lawful personal or business purposes, subject to these Terms and any product-specific license terms disclosed at the time of purchase.

The purchaser may make reasonable backup copies solely for personal archival or recovery purposes.

Unless expressly authorized in writing by Saucier Systems, you may not sell, resell, redistribute, sublicense, rent, lease, publish, share, commercially distribute, or provide copies of Saucier Systems software, installers, license materials, documentation, or other protected digital products to third parties.

You may not remove or intentionally circumvent copyright notices, proprietary notices, or technical protections included with a product, except where applicable law expressly grants a right that cannot legally be restricted.

Purchase of software does not transfer ownership of the software, source code, designs, trademarks, copyrights, or other intellectual property.

All rights not expressly granted are reserved by Saucier Systems and its applicable licensors.

SECTION 7 - SOFTWARE DATA, BACKUPS AND DEVICE RESPONSIBILITY

Certain Saucier Systems software may store information locally on the user’s computer or device rather than on Saucier Systems servers. Where a product is described as storing data locally, the user is responsible for maintaining appropriate backups of that data.

Saucier Systems is not a cloud-storage or data-backup provider unless a product is expressly described as including such a service.

Users are responsible for protecting their computers, devices, operating-system accounts, files, and backups against loss, theft, unauthorized access, hardware failure, malware, accidental deletion, or other events outside Saucier Systems’ reasonable control.

Uninstalling software may not necessarily delete locally stored user data. Likewise, deleting local files, resetting a computer, replacing a device, or reinstalling an operating system may result in data loss if appropriate backups have not been maintained.

SECTION 8 - THIRD-PARTY SERVICES, LINKS AND INFORMATION

Saucier Systems products or Services may contain links to, integrate with, display information from, or provide access to third-party websites, mapping services, routing services, marketplaces, load boards, APIs, tools, or other resources.

Unless expressly stated otherwise, third-party services are not operated or controlled by Saucier Systems. Their availability, accuracy, functionality, pricing, terms, and privacy practices may change independently of Saucier Systems.

Information supplied by third parties—including maps, routes, mileage estimates, road information, business information, regulations, rates, or other external data—should be independently verified when accuracy is important to safety, legal compliance, financial decisions, or business operations.

Access to a third-party service does not constitute an endorsement or guarantee by Saucier Systems.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Saucier Systems is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Saucier Systems. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Saucier Systems, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Saucier Systems.

SECTION 10 - PRIVACY

Personal information collected through the Saucier Systems website and store is handled in accordance with our posted Privacy Policy.

Because our store is powered by Shopify, certain personal information may also be collected and processed by Shopify and other service providers as described in the applicable privacy policies.

Unless a particular Saucier Systems product expressly provides otherwise, data entered into locally operated desktop software is not automatically transmitted to or stored by Saucier Systems.

SECTION 11 - INTELLECTUAL PROPERTY

The Saucier Systems website, brand, trademarks, logos, software, documentation, graphics, designs, product names, text, original images, and other protected materials are owned by Saucier Systems or applicable licensors and are protected by intellectual-property laws.

Except for rights expressly granted under a software license or other written agreement, nothing in these Terms transfers any copyright, trademark, patent, trade-secret, or other intellectual-property right to you.

Saucier Systems names, logos, product names, designs, and slogans may not be used in a manner that falsely suggests sponsorship, affiliation, or authorization.

Third-party names, trademarks, and services remain the property of their respective owners.

SECTION 12 - FEEDBACK

If you voluntarily provide ideas, suggestions, reviews, proposals, or other feedback concerning our products or Services (“Feedback”), you grant Saucier Systems permission to use that Feedback to operate, evaluate, improve, develop, and promote our products and Services without an obligation to compensate you, except where prohibited by law or separately agreed in writing.

You represent that you have the right to provide any Feedback you submit and that doing so does not violate another person’s rights.

SECTION 13 - ERRORS, INACCURACIES AND OMISSIONS

Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions concerning product descriptions, pricing, promotions, availability, compatibility, or other information.

We reserve the right to correct errors and update information as permitted by applicable law. If an error materially affects an order that has already been placed, we will address the order in accordance with applicable law.

You may use the Services only for lawful purposes.

We may suspend or terminate access to Services where reasonably necessary because of violation of these Terms, unlawful activity, fraud, security threats, nonpayment, or misuse of Saucier Systems products or Services.

Termination of website or store access does not eliminate obligations or rights that by their nature should survive, including intellectual-property rights, software-license restrictions, payment obligations, warranty disclaimers, limitations of liability, and other applicable provisions.

SECTION 16 - DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR ANY EXPRESS WARRANTY PROVIDED IN WRITING BY SAUCIER SYSTEMS, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that software or Services will operate without interruption or error, that every feature will meet every individual business need, or that third-party information or services will always remain available or accurate.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

SECTION 17 - BUSINESS, FINANCIAL, ROUTING AND REGULATORY INFORMATION

Saucier Systems software and Services may provide calculations, estimates, organizational tools, planning tools, mileage information, profitability estimates, expense tracking, routing information, business information, or links to external resources.

Such information is provided as a tool to assist the user and should not be treated as legal, tax, accounting, financial, safety, regulatory, dispatch, or professional advice.

Estimates depend on the information entered by the user and, where applicable, information supplied by third parties. Users remain responsible for verifying information relevant to actual routes, road restrictions, vehicle restrictions, permits, weights, dimensions, taxes, operating costs, legal compliance, safety, and business decisions.

SECTION 18 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAUCIER SYSTEMS AND ITS AFFILIATES, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOSS OF DATA, OR REPLACEMENT COSTS ARISING FROM OR RELATING TO USE OF THE SERVICES OR PRODUCTS.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

SECTION 19 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Saucier Systems, Shopify, and their respective affiliates, officers, employees, agents, contractors, licensors, and service providers from third-party claims arising from your material breach of these Terms, your unlawful use of the Services, or your violation of another party’s rights.

SECTION 20 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law and severed to the minimum extent necessary. The remaining provisions will continue in effect.

SECTION 21 - WAIVER; ENTIRE AGREEMENT

Failure to enforce a provision of these Terms does not waive that provision.

These Terms, together with our posted Privacy Policy, Refund Policy, product-specific license terms, and other policies expressly incorporated by reference, constitute the agreement governing use of the applicable Services and purchases from Saucier Systems.

If product-specific terms expressly conflict with these general Terms regarding use of a particular product, the product-specific terms will control for that product to the extent of the conflict.

SECTION 22 - ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms except where permitted by law or with our written consent.

Saucier Systems may assign its rights and obligations in connection with a lawful transfer, restructuring, sale, or operation of the business, subject to applicable law.

These Terms and any separate agreements through which Saucier Systems provides Services will be governed by applicable United States federal law and the laws of the State of Mississippi, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

Headings are included for convenience only and do not limit or otherwise affect these Terms.

We may update these Terms from time to time by posting a revised version on our website. Where required by applicable law, we will provide appropriate notice of material changes.

Changes will not retroactively eliminate rights already granted with a completed purchase where applicable law or the terms of that purchase prevent such a change.
